Terms of Service | Insurance Agency Trader

These Terms of Service ("Terms") govern your access to and use of Insurance Agency Trader (the "Site," "Service," "we," "us," "our"), operated by IDudes, LLC. By using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Operator

Insurance Agency Trader is operated by IDudes, LLC, an Arizona limited liability company. Hosts and principals: Craig Pretzinger and Jason Feltman. Business address: 258 E River Rd, Ste 100, Tucson, AZ 85704. Phone: 520-397-3203.

2. Services

The Site offers:

A marketplace for listing and discovering P&C insurance agencies for sale
Free valuation tools, carryback financing calculators, and seller strategy tools
Educational content (blog, guides) on agency M&A, financing, and operations
AI-powered advisory chat (informational, not legal/financial/tax advice)
NDA-gated buyer-seller introductions on listed agencies
Optional paid services where explicitly priced (e.g. listing fees, premium tools)

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts. By using the Site you represent that you meet these requirements.

4. Accounts & Credentials

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts for violations of these Terms, non-payment, fraud, or security risks.

5. Listings, NDAs & Marketplace Conduct

Seller representations. If you list an agency, you represent that the information you provide (revenue, EBITDA, retention, carrier mix, geography, etc.) is accurate to the best of your knowledge. Material misrepresentation may result in listing removal and termination of your account.

Buyer confidentiality. If you request access to seller-confidential information through an NDA flow, you agree to be bound by the executed NDA. Sharing confidential information outside that scope is a breach of contract.

No deal facilitation. We provide listings, tools, and introductions. We are not a party to any agency-purchase agreement and are not your broker, attorney, or fiduciary. All deal terms are between the buyer and seller.

6. Fees & Payments

Most Site features are free. Paid features are clearly priced at the point of purchase. Stripe processes payments. Refunds, if any, follow the policy stated on the specific paid feature; in absence of a stated policy, payments are non-refundable. Subscription cancellations require written notice via our contact form at least 10 days before the next renewal; current-period fees are non-refundable.

7. Intellectual Property

All content on the Site — text, blog posts, illustrations, cartoons, calculators, tools, design, layout, code — is owned by IDudes, LLC or its licensors and protected by U.S. and international intellectual property laws. You may not:

Resell, reproduce, or commercially distribute Site content
Use Site content to train machine-learning models or AI systems
Remove attribution, branding, or copyright notices
Scrape, crawl, or index the Site in violation of robots.txt

Brief fair-use quotations with attribution and a link back to the Site are permitted.

8. Acceptable Use

You agree not to:

Submit false, misleading, or fraudulent information through any form or listing
Use the Site for any unlawful purpose
Interfere with the Site's operation, security, or integrity
Attempt to gain unauthorized access to accounts, systems, or data
Use automated tools to extract data except as expressly permitted

9. Disclaimers

The Site is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement.

Educational content only. Valuations, multiples, benchmarks, articles, calculator outputs, and AI chat responses are informational and educational. They are not legal, tax, financial, accounting, or insurance advice. Consult qualified professionals before making any decisions about buying, selling, financing, or operating an insurance agency.

Not a licensed insurance entity. Insurance Agency Trader and IDudes, LLC are not licensed insurance carriers, agents, brokers, or producers. We do not underwrite, issue, or sell insurance products.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will IDudes, LLC, its principals, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages. Our aggregate liability for any claim arising from or relating to the Site is limited to the amount you paid us in the twelve months before the claim, or USD $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless IDudes, LLC and its principals from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, your violation of law, or your infringement of any third-party right.

12. Governing Law & Arbitration

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in Pima County, Arizona. The arbitrator's award is final and may be entered in any court of competent jurisdiction.

Class-action waiver. You and we agree to resolve disputes only on an individual basis. Neither party may bring or participate in any class, collective, or representative action.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason — including breach of these Terms. Sections that by their nature should survive termination (IP, disclaimers, liability, indemnification, governing law) will survive.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent Site notice. Continued use after changes constitutes acceptance of the revised Terms.
